Responsibilities split

The reseller relationship divides responsibilities between the reseller and Crawlux. Resellers own the customer relationship; Crawlux operates the underlying platform. The split below covers the most common scenarios.

Customer acquisition, sales process, retail pricing, billing the customer, first-line support, refund handling per Crawlux policy, marketing and brand presentation, GDPR compliance for customer data, contract terms with customer.

Crawlux

Crawlux responsibilities

Audit engine operation, data infrastructure, methodology research, platform uptime, security and compliance, partner support (not direct client support), white-label feature delivery, billing the reseller account, dispute escalation when needed.

Billing and settlement

Resellers are billed by Crawlux per audit consumed at partner pricing. Payment terms are Net 30 (Volume tier Net 60). Reseller bills the client separately at retail pricing. Crawlux is not involved in the reseller-to-client billing.

Late payment consequences

Invoices over 30 days past due trigger account suspension on day 31. Pending audits halt. Resolved invoices restore account within 1 business day. Repeated late payment may result in switch to prepaid pricing or account termination.

Dispute resolution

Three potential dispute scenarios in a reseller relationship: reseller versus client, reseller versus Crawlux and a triangulated dispute involving all three. Each has a different resolution path.

Reseller vs client

Disputes between reseller and reseller's client are between those parties. Crawlux provides reasonable support to verify audit data accuracy or methodology context but is not a party to the dispute.

Reseller vs Crawlux

Direct disputes follow the Terms of Service governing law clause: International Chamber of Commerce arbitration in a neutral seat. Good-faith negotiation precedes arbitration in nearly all cases.

Three-party dispute

If a client dispute escalates and involves Crawlux platform questions, Crawlux may engage with the reseller and client jointly. Resellers cannot pull Crawlux into a client dispute without consent.

Termination

Reseller relationships can end voluntarily by either party with 30 days notice or for cause without notice. The transition rules below cover what happens to active client engagements when termination occurs.

Either party can end the reseller relationship with 30 days written notice. Active audit subscriptions for clients honored through their term. White-label assets revert at termination.

For cause

Immediate termination

Material breach, fraud, brand misrepresentation, late payment beyond cure window or violation of acceptable use policy can trigger immediate termination. Pending audits halt. Outstanding invoices accelerate.

Transition

Client transition options

On termination, clients can transition to direct Crawlux accounts at standard retail pricing if they choose. Reseller cannot block client migration. Customer data retained per the standard retention rules.

What is the difference between affiliate and reseller?

Affiliates earn commission by referring customers to Crawlux who pay Crawlux directly. Resellers buy audits at partner pricing and resell them to clients at retail or markup. Resellers handle billing, support and the customer relationship. Crawlux is a backend service. Resellers must apply and qualify; affiliates are open to all.

How do I become a reseller?

Apply at [email protected] with your agency profile, service offerings and projected audit volume. Minimum qualification is 50 audits per quarter committed. Approval typically takes 5 business days. Approved resellers sign a separate Reseller Order Form with payment terms and dedicated partner manager assignment.

What does white-label include?

White-label covers report PDF branding (your logo, colors, contact details replacing Crawlux branding) and dashboard subdomain (audits.youragency.com pointing to Crawlux). Methodology attribution remains in the report footer per intellectual property rules. Crawlux brand is not advertised to your client.

Who handles client support and refunds?

Resellers are the first line of support for their clients. Resellers handle client questions about reports, methodology context and refund requests. Crawlux supports resellers (not direct clients) on technical issues, methodology questions and platform problems. Refund requests follow the standard Crawlux refund policy via the reseller account.

Can I set my own retail prices?

Yes. Resellers set their own retail prices, packages and bundling. Common patterns include flat-fee retail audits ($75-$150 per domain), audit plus consultation packages ($300-$500) and audit-plus-implementation retainers ($1500+). Resellers cannot misrepresent the audit as their proprietary technology.

What if I have a dispute with a client?

Disputes between reseller and reseller's client are between those parties. Crawlux provides reasonable support to verify audit data accuracy or methodology. If the dispute concerns Crawlux platform issues (not reseller service quality), Crawlux may engage directly. Documented disputes via [email protected].
